Terms of sale and use

1. What you're buying
When you purchase Paidlio, you receive a personal, perpetual licence to install and use the Paidlio desktop application on machines you personally control. You may continue to use the version you have indefinitely.
2. Single user, your machines
The licence is for one human (you) to use across the machines you personally control — typically a primary desktop and a laptop, or similar combinations. You may:
- Install on multiple personal machines for your own use.
- Move your installation to a new machine when you upgrade.
- Make backups of your installed files for your own use.
You may not:
- Share your licence key with anyone else.
- Resell, sublicense, or redistribute the software.
- Use the software to provide invoicing services to third parties as a hosted offering.
- Reverse engineer, decompile, or disassemble the software (except where local law expressly permits this and we cannot waive it).
3. Licence keys, validated locally after activation
The first time you enter your licence key, Paidlio makes one HTTPS call to our payment provider (Lemon Squeezy) to register the activation, then stores the result on your machine. From that point on the licence is verified locally and the app runs offline — it does not phone home periodically, transmit hardware fingerprints, or check in with our servers. If you move your install to a different computer, Releasing the old machine in Settings makes one further HTTPS call to free the activation slot. Between those events the app is fully offline, and your activated copy will continue working even if we cease operations.
4. Payment and delivery
All purchases are one-time payments processed by our payment provider. After successful payment we email you within one business day with a download link, your licence key, and brief installation instructions. Keep your licence key safe — we can re-issue it on request, but treat it like a key to a small lockbox.
5. Updates
Updates are released at our discretion and made available to existing customers. They contain bug fixes, security patches, new features, and platform compatibility improvements. You may continue using any installed version indefinitely.
6. Support
Email support is included with your licence. We aim to reply within one business day. Support covers installation help, configuration, and reasonable how-to questions. It does not cover bookkeeping advice, accounting interpretations, or third-party tools.
7. Refunds
We offer a 14-day refund from the date of purchase. No questions, no forms, no friction — email us via the contact form and we'll process it. Once refunded, please uninstall the software. Refunds are not available after 14 days, except where required by law.
8. Your data is yours
Paidlio is a local application. Your customer records, invoices, payments, and other content are stored locally on your machine. You own that data outright. We do not have a copy. Backing it up is your responsibility — though Paidlio includes scheduled backup tooling to make this easy.
9. Scope of the software
Paidlio is invoicing software, not accounting software. It does not produce profit & loss statements, balance sheets, trial balances, tax filings, or financial statements suitable for statutory submission. It does not constitute professional accounting, legal, or tax advice. You remain responsible for your bookkeeping and tax obligations, ideally with a qualified accountant.
10. Warranty disclaimer
Paidlio is provided "as is", without warranty of any kind beyond the rights granted by your local consumer protection law. We do not warrant that the software will be error-free, meet your specific requirements, or be uninterrupted in operation. Use it carefully — keep backups.
11. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising out of these terms or your use of the software is limited to the amount you paid for your licence. We are not liable for indirect, incidental, or consequential damages, including loss of data or business interruption.
12. Termination
This licence continues until terminated. We may terminate if you materially breach these terms (e.g. share your key publicly, resell the software). On termination you must stop using the software, but your data remains yours. Sections 8 through 13 survive termination.
13. Governing law
Your purchase of Paidlio is processed by Lemon Squeezy as merchant of record, and the sale itself is governed by their terms and the law of their jurisdiction. Beyond the sale, the mandatory consumer protection laws of the country where you live continue to apply to you and are not displaced by these terms. We will deal with any dispute in good faith and aim to resolve it informally before any formal proceedings.
14. Changes to these terms
If we change these terms, the "last updated" date at the top will change. Material changes will be announced on the homepage. Your existing licence is governed by the terms in force at the time you purchased it.
